  • HMRC: consultation on removing the requirement for UK domiciled bond funds to withhold tax on interest distributions when those funds are sold through reputable intermediaries only to non-UK investors

    Authorised investment funds (AIFs) may make interest distributions to non-resident investors without deducting income tax. HMRC states that, since units in... funds are typically sold and maintained through an intermediary (distributor), the fund may have no direct knowledge of the unit holders. An offshore distributor may be unwilling to handle units in UK funds if that would require it to establish whether its clients are UK resident. Therefore, the government proposes to allow such funds to issue specific units on which interest distributions may be paid without withholding, provided that the units are sold through distributors who will market them only outside the UK. The distributors would not have to establish the tax residence of investors who approach them from addresses outside the UK.

  • FCA publishes EuSEF and EuVECA registration forms

    On 19 July 2013, the FCA published a webpage for fund managers wishing to register as European Social Entrepreneurship Fund (EuSEF)... managers or European Venture Capital fund (EuVECA) managers. Under the European Social Entrepreneurship Funds Regulation (Regulation 346/2013) (EuSEF Regulation) and the European Venture Capital Funds Regulation (Regulation 345/2013) (EuVECA Regulation), firms that register as a EuSEF or EuVECA manager are allowed to market qualifying social entrepreneurship funds and qualifying venture capital funds throughout the EEA to certain categories of investors under the EuSEF and EuVECA "label".

  • ESMA: AIFM Directive – cooperation arrangements

    ESMA has announced that it has approved seven co-operation arrangements between EU securities regulators and their global counterparts with responsibility for... the supervision of alternative investment funds and has approved MoUs with authorities from the Bahamas, Japan, Malaysia, Mexico and the US, including CFTC. ESMA has now negotiated 38 agreements on behalf of the 31 EU/EEA national competent authorities for securities markets supervision. The co-operation agreements allow for the exchange of information, cross-border on-site visits and mutual assistance in the enforcement of respective supervisory laws. The agreements cover third-country AIFMs that market AIFs in the EU and EU AIFMs that manage or market AIFs outside the EU. The agreements also cover co-operation in the cross-border supervision of depositaries and AIFMs’ delegates. The co-operation arrangements are applicable from 22 July 2013, and will enable cross-border marketing of AIFs to professional investors between jurisdictions. This is subject to the non-EU jurisdiction not being listed as a non-cooperative jurisdiction by FATF and, as from the entry into force of the passport for non-EU managers, having co-operation agreements in place with EU Member States regarding the exchange of information on tax matters.
