    FCA and ASIC have agreed MoUs on trade repositories and AIFs in order to ensure continuity post-Brexit. Texts of the... MoUs have not been published. The press release also states that HMT has confirmed that existing equivalence decisions granted in respect of Australia by the EC before exit day will generally be incorporated into UK law and will continue to apply post-Brexit. The UK will adopt existing EU equivalence decisions that relate to Australia’s supervisory and regulatory regime for trading venues, OTC derivatives markets and credit rating agencies.

  • HoC BEIS Committee: Executive reward – paying for success

    Amongst other matters, the Committee's report on remuneration considers the roles of asset managers and asset holders (such as pension funds)... and argues that "their stewardship role includes a wider responsibility .. [to] include a commitment to comment publicly when necessary and a requirement to explain their policies and voting records. The final Stewardship Code should make this explicit and be applied strictly and consistently by relevant regulators, including [FCA]".

  • FCA Review of disclosure of costs by asset managers

    Further to new disclosure requirements on costs and charges introduced by MiFID II and PRIIPs, FCA has published the key findings... of supervisory work undertaken to assess the effectiveness of disclosure by asset managers to their retail customers. FCA found that some examples of good practice by the asset managers in its review, but identified problems with the way some asset managers calculate transaction costs and how prominently they disclose them. FCA also found that asset managers generally do not disclose all associated costs and charges and found inconsistencies in information published in documents and websites where full disclosures are made. FCA states that asset managers should review their cost disclosures to ensure that they are clear, fair and not misleading.

  • FCA: PS19/4: Asset Management Market Study - feedback to CP18/9 and final rules and guidance

    Further to CP18/19, FCA has published final rules and guidance, stating that only minor drafting amendments intended to improve clarity have... been made. New Handbook rules and guidance covered in the "benchmarks" section will come into force on 7 May 2019 for new funds and on 7 August 2019 for existing funds. Rules on performance fees come into force on 7 August 2019. FCA also clarifies how COBS 4 applies to the key investor information document. This change comes into force on 4 February 2019. FCA notes that it expect AFMs to take the guidance on fund objectives into consideration when reviewing fund documentation from today's date.

  • FCA/FRC: Shareholder engagement and effective stewardship

    FCA has published CP19/7, which sets out proposals on regulatory measures to implement the provisions of the amended Shareholder Rights Directive... (SRD II) for FCA-regulated life insurers and asset managers and for issuers of shares in respect of related party transactions. Responses are required by 27 March 2019. FCA and FRC have published DP19/1, a joint discussion paper which considers what effective stewardship should look like, what the minimum expectations should be for financial services firms who invest for clients and beneficiaries, the standards the UK should aspire to and how these might best be achieved. Responses are required by 30 April 2018. Following a consultation on the revised UK Corporate Governance Code in December 2017, FRC has now published a consultation proposing revisions to the Stewardship Code, noting that feedback from the earlier consultation has been considered in developing the draft 2019 Code. Responses are required by 27 March 2019.
